Master Equipment Lease Agreement
Terms & Conditions
1. LEASE TERM AND AUTOMATIC RENEWAL The lease term commences immediately upon physical delivery and transfer of custody at the Lessee’s designated site. This is a recurring lease agreement. Upon expiration of the initial lease term, this Agreement automatically renews for successive periods equal in length to the initial term (e.g., weekly or monthly).
- Automatic Billing: The Lessee’s payment method on file will be automatically charged at the commencement of each renewal period.
- Termination & Pickup: To terminate the lease and prevent subsequent billing, the Lessee must formally schedule a return. Lessor guarantees same-day dispatch for equipment recovery upon notification. All recurring lease charges cease the moment the return is scheduled.
2. EQUIPMENT CONDITION AND CALIBRATION Lessor guarantees that all non-destructive testing (NDT) equipment is delivered in optimal working condition with current, valid calibration certificates compliant with ISO 9001 and API standards. Lessee accepts the equipment "as is" upon delivery. It is the Lessee's responsibility to verify calibration documents prior to commencing field inspections.
3. STRICT LIABILITY, DAMAGE, AND INSURANCE RECOVERY From the moment of delivery until the moment of authorized return, the Lessee assumes absolute liability for the equipment.
- Primary Line of Defense (COI Filing): In the event of damage, destruction, loss, or theft, the Lessee’s Certificate of Insurance (COI) shall act as the primary and exclusive source of financial recovery. Lessor will file claims directly against the Lessee’s Inland Marine / Leased Equipment policy.
- Replacement Costs: Lessee is legally liable for the full, non-depreciated replacement cost of the exact make and model, or the comprehensive cost of OEM repairs, plus expedited shipping and recalibration fees.
4. INSURANCE REQUIREMENTS (COI) Prior to equipment dispatch, Lessee must provide a valid Certificate of Insurance (COI) meeting the following requirements:
- $1,000,000 General Liability coverage.
- Inland Marine / Leased Equipment coverage equal to or greater than the replacement value of the leased assets.
- Mathis Capital LLC must be explicitly listed as the "Loss Payee" and "Additional Insured." Failure to provide a valid COI will result in an immediate dispatch hold without a refund of the lease payment.
5. TECHNICIAN VERIFICATION Lessor provides specialized diagnostic hardware, not field engineering services. Lessee represents and warrants that only personnel possessing active, valid ASNT or API certifications will operate the equipment. Lessor bears zero liability for inspection accuracy, data interpretation, or structural failures resulting from the use of this equipment.
6. DELIVERY AND SITE ACCESS Lessor provides complimentary delivery, initial setup, and basic operational handover within our designated Texas regional hubs. Lessee must ensure an authorized representative is present at the designated delivery time to sign the custody transfer log.
7. PAYMENT TERMS AND RECOVERY OF ASSETS All lease payments are due at checkout unless an active Net-30 corporate account is established in writing.
- Declined Payments: If an automatic recurring charge is declined, Lessee has two (2) hours to provide an alternate payment method. Failure to remit payment will result in the immediate dispatch of Lessor’s logistics team for same-day equipment recovery.
- Cancellations: Initial cancellations made within 24 hours of the scheduled deployment will incur a 20% restocking and logistics fee.
